1. Approval of the annual accounts
The ordinary general meeting of shareholders of 21 May 2012 has approved the statutory and consolidated annual accounts of Leasinvest Real Estate, closed at 31 December 2011, including the appropriation of the profit.
2. Dividend of the financial year 2011
The ordinary general meeting has decided to distribute a dividend, on 28/05/12 of 4.15 euro gross and net, after withholding tax, 3.2785 euro per share (based on a withholding tax of 21%).
The dividend will be paid upon presentation of coupon nr. 13 as from 28/05/12 at the financial institutions Bank Delen (main paying agent), ING Bank, Belfius Bank, BNP Paribas Fortis Bank and Bank Degroof.
As the payment date is 28/05/12, the Ex-date is 23/05/12 and the Record date is 25/05/12.
3. Renewal of the auditor's mandate for a term of 3 years
On the proposal of the audit committee of 06/02/12 to renew the mandate of the auditor Ernst & Young for the financial years 2012, 2013 and 2014, the general meeting of 21 May 2012 has approved the renewal of the mandate for that period. The auditor is represented thereto by Mrs Christel Weymeersch till after the annual meeting to be held in 2013, and by Mr Pierre Vanderbeek till after the annual meeting to be held in 2015, according to the mandatory rotation rules.
The annual remuneration of the auditor for auditing the annual accounts of the financial year 2012 will be fixed at comparable conditions, namely at 31,880 euro (excl. VAT).
